Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and [COMPANY LEGAL NAME], a [STATE] [ENTITY TYPE] (“Sprig,” “we,” “us”), governing your use of the Sprig website, applications, and services (the “Service”). By creating an account or using the Service, you agree to these Terms, our Privacy Policy, and our Community Guidelines, which are incorporated into these Terms by reference. If you do not agree, do not use the Service.

1. Eligibility

To create an account or use the Service, you represent and warrant that:

  • you are at least 18 years old;
  • you are legally able to form a binding contract;
  • you are not required to register as a sex offender with any government entity;
  • you have never been convicted of, or pled no contest to, a felony or indictable offense (or a crime of similar severity), a sex crime, or any crime involving violence;
  • you have not previously been banned from the Service; and
  • you will use the Service for personal, non-commercial purposes only.

We use your date of birth to verify age and may suspend or terminate any account we reasonably believe belongs to someone under 18.

2. Your account

You are responsible for your login credentials and for all activity on your account. Keep your password confidential; notify us at support@sprig.love if you suspect unauthorized access. You may maintain only one account, the information you provide must be accurate (including your date of birth), and your account is for your personal use only — you may not transfer it or let anyone else use it.

3. The Service; no guarantees

Sprig is a personality-first dating service: compatibility is estimated from questions you and other members answer, and member photos begin obscured and become clearer as two people interact (“clarity”). Compatibility percentages, clarity scores, Daily Picks, and similar features are estimates generated by algorithms and provided for interest only — they are not professional advice, a prediction of relationship success, or a representation about any member.

We do not guarantee matches, introductions, dates, relationships, or any particular outcome. Some features may be limited before your city launches, and we may add, change, suspend, or remove features at any time.

4. Safety; no background checks; assumption of risk

Sprig does not conduct criminal background checks or identity screening on its members, and makes no representations about the conduct, identity, intentions, legitimacy, or health of any member. You are solely responsible for your interactions with other members, whether online or in person.

Safety awareness:exercise caution — never send money or share financial information with anyone you meet on the Service; keep personal details (home or work address, daily routine) private until you genuinely trust someone; meet in public for first dates, tell a friend where you'll be, and arrange your own transportation; and report anyone who pressures, threatens, or scams you. More guidance is in the Safety Center.

You agree that your use of the Service and your interactions with other members are at your own risk. In an emergency, contact 911 (or your local emergency service).

5. Community rules and prohibited conduct

You agree to follow the Community Guidelines, and you will not:

  • misrepresent your identity or age, impersonate any person, or use photos that are not of you;
  • harass, stalk, threaten, intimidate, defame, or abuse anyone, or post hateful or discriminatory content;
  • post nudity or sexually explicit content, or any content that sexualizes or endangers minors (which we report to authorities where required);
  • solicit money, financial information, or anything of value from other members, or use the Service to promote goods, services, events, or other platforms;
  • share another person's private or personally identifiable information without consent;
  • use bots, scrapers, or automated means to access the Service, or copy, harvest, or index member data;
  • circumvent or manipulate the Service's systems, including rate limits, the clarity/reveal system, compatibility scoring, blocks, suspensions, or the flag/report system (including by knowingly false reports);
  • upload malicious code or interfere with the Service's operation or security; or
  • use member content or data for any purpose outside the Service, including training machine-learning models.

6. Your content and license to us

“Your Content” means everything you submit: photos, captions, profile details, question answers (including which answers you'd accept and how much a question matters to you), answer notes, interests, and messages. You retain ownership of Your Content. You grant Sprig a non-exclusive, worldwide, royalty-free, sublicensable (to our service providers) license to host, store, reproduce, adapt, modify (for example, cropping, compressing, or applying the blur/clarity effect), display, and distribute Your Content solely to operate, improve, secure, and promote the Service. We will not use content that identifies you in promotion without your separate consent.

You represent that you have all rights to Your Content and that it doesn't violate anyone else's rights or these Terms. We may remove or refuse any content at our discretion, and flagged content may be preserved for review as described in the Privacy Policy. This license ends when your content is deleted from the Service, except for content preserved for safety, legal, or backup purposes as described in the Privacy Policy.

7. Other members' content

Member profiles, answers, notes, and messages are the responsibility of the members who create them. We do not endorse or verify member content, and you may not use, copy, or share another member's content or personal information outside the Service. Sharing screenshots of other members' profiles or messages to harass, embarrass, or endanger them violates these Terms.

8. Moderation and enforcement

We may investigate any suspected violation of these Terms or the Community Guidelines, including by reviewing content that members flag (a snapshot of flagged content is preserved for review). We may issue warnings, remove content, and suspend (temporarily) or ban (permanently) accounts, with or without notice. Multiple credible reports may result in a temporary suspension pending human review. Knowingly false or abusive reporting is itself a violation. To appeal an enforcement decision, contact support@sprig.love. We may report content or conduct to law enforcement where we believe it is appropriate or required.

9. Referral program and promotions

Referral rewards are status-based (badges, timing) and have no cash value; we may modify or end the referral program at any time. Any sweepstakes or prize drawing we offer (for example, a launch drawing) is governed by its own Official Rules, which control over these Terms for that promotion. No purchase is necessary to enter any sweepstakes, and sweepstakes are void where prohibited.

10. Fees and future paid features

The Service is currently free. We may introduce paid features or subscriptions in the future; if we do, pricing, billing, renewal, and cancellation terms will be presented before you pay and will supplement these Terms. We will not charge you without your affirmative action.

11. Our intellectual property

The Service — including its software, design, question bank, compatibility and clarity systems, text, and branding (“Sprig” and the Sprig logo) — is owned by us or our licensors and protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended personal purpose. You may not copy, modify, distribute, sell, reverse engineer, or create derivative works from the Service except as permitted by law.

12. Copyright complaints (DMCA)

If you believe content on the Service infringes your copyright, send a notice compliant with 17 U.S.C. § 512 to our designated agent at support@sprig.love [or DMCA AGENT ADDRESS], including: identification of the work and the infringing material, your contact information, a statement of good-faith belief, a statement of accuracy under penalty of perjury, and your physical or electronic signature. We may remove allegedly infringing content and terminate repeat infringers.

13. Third-party services

We use third-party providers to operate the Service (for example, email delivery). Their processing of your information is described in the Privacy Policy. The Service may contain links to third-party resources (such as safety hotlines); we are not responsible for third-party content or services.

14. Termination

You may stop using the Service at any time and may delete your account in the Safety Center. We may suspend or terminate your account as described in Section 8, or discontinue the Service (in whole or in part) at any time. Sections that by their nature should survive termination (including Sections 4, 6–8, 11, and 15–19) survive.

15. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT COMPATIBILITY ESTIMATES ARE ACCURATE; OR THAT ANY MEMBER IS WHO THEY CLAIM TO BE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPRIG AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR EMOTIONAL DISTRESS — ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS, INCLUDING DAMAGES ARISING FROM THE CONDUCT OF OTHER MEMBERS OR PERSONS YOU MEET THROUGH THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) US $100 AND (B) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. THESE LIMITS ARE A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN YOU AND US.

17. Indemnification

You agree to indemnify and hold Sprig harmless from claims, losses, and expenses (including reasonable attorneys' fees) arising out of Your Content, your use of the Service, your interactions with other members, or your breach of these Terms, except to the extent caused by our own misconduct.

18. Dispute resolution; arbitration; class-action waiver

Please read this section carefully — it affects your rights. Before filing a claim, you agree to first contact us at support@sprig.love and attempt in good faith to resolve the dispute informally for 60 days.

Except for (a) small-claims-court actions and (b) claims for injunctive relief relating to intellectual property or unauthorized use of the Service, any dispute arising out of these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be conducted in [COUNTY, STATE] or remotely by videoconference; we will pay filing and arbitrator fees that exceed what a court filing would have cost you. YOU AND SPRIG EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING.

Opt-out: you may reject this arbitration agreement (without affecting the rest of these Terms) by emailing support@sprig.love with the subject “Arbitration opt-out” within 30 days of first accepting these Terms. Nothing in this section prevents either party from reporting matters to government agencies.

19. Governing law

These Terms are governed by the laws of the State of [STATE], without regard to conflict-of-laws rules, except that the Federal Arbitration Act governs Section 18. For disputes not subject to arbitration, you and Sprig consent to the exclusive jurisdiction of the state and federal courts located in [COUNTY, STATE].

20. Changes to these Terms

We may update these Terms from time to time. If a change is material, we will notify you (for example, by email or an in-app notice) before it takes effect. Your continued use of the Service after the effective date constitutes acceptance. If you do not agree to updated Terms, stop using the Service and delete your account.

21. Electronic communications

You consent to receive communications from us electronically — including transactional and account emails — and agree that electronic notices satisfy any legal requirement that communications be in writing. You can opt out of non-essential (notification) emails via the unsubscribe link in those emails; account, security, and safety emails will still be sent.

22. Miscellaneous

These Terms (with the Privacy Policy, Community Guidelines, and any promotion Official Rules) are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. There are no third-party beneficiaries.
